RECITALS

October 23, 2026
In plain language: Example Café Partnership borrows $10,000 from Jordan Miller and promises to pay it back with interest under the terms below. If the Borrower misses payments, the Lender can demand the full balance and pursue legal remedies.
ARTICLE 1 — THE PARTIES
Lender: Jordan Miller
Borrower: Example Café Partnership
FOR VALUE RECEIVED, the Borrower promises to pay the Lender as follows:
ARTICLE 2 — PRINCIPAL AND INTEREST
(a) Principal: $10,000 (the "Principal"), advanced on 2026-11-01 (the "Start Date").
(b) Interest accrues on the outstanding Principal at 5% per annum, calculated monthly and not in advance.
(c) If no rate were stated, interest would accrue at the rate set by applicable law.
ARTICLE 3 — TERM
The term of this note runs from the Start Date to the Maturity Date of 2027-10-31.
ARTICLE 4 — REPAYMENT
The Borrower will repay the Principal in equal monthly instalments of principal and interest, with the first instalment due one (1) month after the Start Date and the remaining balance, if any, due in full on the Maturity Date (2027-10-31). Each instalment is due on the same calendar day each month.
ARTICLE 5 — LATE FEE
If any payment is more than fifteen (15) days overdue, the Borrower will pay a late fee of $25 per late payment in addition to the overdue amount. The late fee does not waive the Lender's other remedies.
ARTICLE 6 — PURPOSE
The loan is made for the following purpose: Purchase of café equipment.
ARTICLE 7 — DEFAULT AND REMEDIES
The Borrower is in default if any payment is more than thirty (30) days overdue or the Borrower becomes insolvent. On default, the Lender may declare the entire outstanding Principal plus accrued interest immediately due and payable, and may pursue any legal remedy. The Borrower will pay the Lender's reasonable costs of collection, including legal fees.
ARTICLE 8 — PREPAYMENT
The Borrower may prepay any part of the Principal at any time without penalty; prepaid amounts reduce the outstanding Principal and interest accrues only on what remains.
ARTICLE 9 — GOVERNING LAW
This note is governed by the laws of Ontario and the federal laws of Canada applicable there. The parties submit to the courts of Ontario for any dispute under this note.
ARTICLE 10 — GENERAL
This document is the entire agreement between the parties about this loan and may be signed in counterparts (including electronic copies).
