Partner 1: Jordan Miller
Partner 2: Casey Lee
ARTICLE 2 — PARTNERSHIP NAME AND BUSINESS
The partners will carry on business together under the name "Example Café Partnership" (the "Partnership"). The business of the Partnership is: Operating a specialty coffee shop at 300 Example Drive, Vancouver, BC.

Ownership shares may only be transferred with the written consent of all partners.
ARTICLE 4 — PROFITS AND LOSSES

ARTICLE 5 — MANAGEMENT AND DECISION-MAKING
Day-to-day decisions are made by a majority of the partners (by ownership share). The following require unanimous agreement: admitting a new partner, selling all or substantially all partnership assets, borrowing above $10,000, and dissolving the partnership.
ARTICLE 6 — DUTIES OF PARTNERS
Each partner will: (a) devote reasonable time and attention to the Partnership's business; (b) act honestly and in good faith in the Partnership's best interests; (c) not use Partnership property or confidential information for personal benefit; and (d) account to the Partnership for any benefit derived from Partnership business.
ARTICLE 7 — BOOKS AND RECORDS
The Partnership will keep proper books of account. Each partner may inspect the books at reasonable times. The fiscal year-end is December 31 unless the partners agree otherwise.
ARTICLE 8 — TERM AND DISSOLUTION
The Partnership begins on the date above and continues until dissolved. The Partnership dissolves on: (a) the unanimous agreement of the partners; (b) the bankruptcy or death of a partner, unless the remaining partners agree in writing to continue; or (c) as required by law. On dissolution, assets are applied first to debts, then to return capital contributions, then distributed per Section 4.
ARTICLE 9 — NON-COMPETE
During the term of the partnership and for 12 months after ceasing to be a partner, no partner will, directly or indirectly, carry on or be engaged in a business that competes with the Partnership's business within Canada, without the written consent of the remaining partners.
ARTICLE 10 — GOVERNING LAW
This agreement is governed by the laws of Ontario and the federal laws of Canada applicable there. The parties submit to the courts of Ontario for any dispute under this agreement.
