INDEPENDENT CONTRACTOR AGREEMENT
Prepared October 23, 2026 · Ontario, Canada
RECITALS
WHEREAS the undersigned desires to set out in writing the matters described below;
WHEREAS this document has been prepared with reference to the laws of Ontario, Canada;
NOW, THEREFORE, the following provisions shall apply:
October 23, 2026
In plain language: Alex Morgan will perform the services described below for Example Startup Inc. as an independent contractor — not as an employee. The Contractor is responsible for its own taxes and business expenses, and keeps its own schedule and methods.
ARTICLE 1 — THE PARTIES
Client: Example Startup Inc.
Address: 100 Example Avenue, Toronto, ON M5V 1J1
Contractor: Alex Morgan
Address: 45 Sample Road, Toronto, ON M4K 2B7
ARTICLE 2 — SERVICES
The Contractor will provide the following services to the Client (the "Services"):
Design and delivery of a 10-page marketing website, including homepage, product pages, blog template and mobile-responsive layouts, with two rounds of revisions.
The Contractor will perform the Services professionally, with reasonable skill and care, and in compliance with applicable laws.
ARTICLE 3 — TERM
This agreement starts on 2026-11-01 and ends on 2027-01-31 (the "Term"), unless terminated earlier under Section 8.
ARTICLE 4 — COMPENSATION AND PAYMENT
The Client will pay the Contractor a fixed fee of $4,500 for the Services. Payment is due 50% on signing, 50% on final delivery and acceptance. The Contractor will submit invoices reasonably describing the work performed.
ARTICLE 5 — INDEPENDENT CONTRACTOR STATUS
The Contractor is an independent contractor, not an employee, agent or partner of the Client. Nothing in this agreement creates an employment relationship. The Contractor:
(a) is responsible for paying its own income tax, CPP/QPP, EI and any other taxes or remittances on amounts paid under this agreement;
(b) is not entitled to employee benefits, vacation pay, overtime, or statutory notice or severance under employment standards legislation;
(c) sets its own hours and methods of work, subject to meeting the agreed deliverables and deadlines; and
(d) provides its own tools and equipment unless the parties agree otherwise in writing.
ARTICLE 6 — INTELLECTUAL PROPERTY
All work product, deliverables, inventions, designs, documents and other materials created by the Contractor in performing the Services (the "Work Product") are the exclusive property of the Client. To the extent the Work Product does not automatically vest in the Client by law, the Contractor assigns all right, title and interest in the Work Product to the Client, and will sign any documents reasonably needed to give effect to this assignment.
ARTICLE 7 — CONFIDENTIALITY
The Contractor agrees to keep confidential all non-public information of the Client received in connection with the Services and to use it only to perform the Services. This obligation does not apply to information that is or becomes public through no fault of the Contractor, or that must be disclosed by law or court order (in which case the Contractor will, where legally permitted, promptly notify the Client).
ARTICLE 8 — TERMINATION
Either party may terminate this agreement by giving 14 days to the other party. The Client will pay the Contractor for Services properly performed up to the effective date of termination. Sections 5, 6 and 7 survive termination.
ARTICLE 9 — GOVERNING LAW
This agreement is governed by the laws of Ontario and the federal laws of Canada applicable there. The parties submit to the courts of Ontario for any dispute under this agreement.
